BACKGROUND (Why is this Action Necessary, and What Action will be accomplished)

Background:
As a member of the Authority and participant in the Authority’s Series 2024 Bonds, Charlotte County is an obligated party of all future bond issues to provide disclosure information.
The action is being brought forward to the BCC from the Authority’s bond counsel to refund the Authority’s bonds. The attached Disclosure Certificate requires execution by the BCC for the benefit of the Holders and Beneficial Owners of the Bonds and in order to assist the Participating Underwriters in complying with the continuing disclosure requirements of Securities and Exchange Commission Rule 15c2-12.
