BACKGROUND (Why is this Action Necessary, and What Action will be accomplished)

Background:
The County and Palladium entered into the Agreement for Sale and Purchase effective September 13, 2022, as modified by an Addendum on September 13, 2022, and further modified by a Second Addendum on September 26, 2023. This Third Addendum extends the development approval period to September 30, 2024, and amends the Closing Date to reflect the Closing shall occur on or before December 31, 2024.
